Herbsmith Policy

The Distributor and any vendor of the Distributor may market Herbsmith Products online, but the
Distributor and Vendor shall not conduct online sales of the Products through third party websites
including but not limited to Amazon, Chewy, Walmart, Jet, and Etsy. Direct online sales are
acceptable as long as the following conditions are met.
- The vendor also has a brick & mortar retail location.
- The vendor signs a MAP policy and never drops below MAP pricing.
- Any vendor that sells exclusively online must complete the Herbsmith account registration
and have been approved.
The Distributor shall only be permitted to sell to vendors who meet the above specifications and
abide by the Supplier’s online sales policy as reasonably modified from time to time at Supplier’s
sole discretion.
In the event the Distributor learns a vendor to which Distributor distributed Products is selling the
Products on a 3rd party website, Distributor shall provide immediate notice and take affirmative
action to stop said online sale, and shall discontinue sales to said vendor if corrective action is
not taken within Ten (10) business days of said written notice.
